Closed Beta Notice: These terms apply to our closed beta program. They will be reviewed by legal counsel before public launch.
1. Acceptance of Terms
Welcome to StudySite.ai ("Platform"), operated by Martlet Solutions, LLC ("Company," "we," "us," or "our"), a Texas limited liability company.
By accessing or using StudySite.ai, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.
These Terms constitute a legally binding agreement between you and Martlet Solutions, LLC.
2. Closed Beta Program
The Platform is currently in closed beta testing.
2.1 Invitation-Only Access: Access is by invitation only. You may not transfer or share your invitation.
2.2 Beta Nature: The Platform is provided "as-is" for testing purposes. Features may change, be removed, or malfunction without notice.
2.3 No Uptime Guarantees: We do not guarantee Platform availability during the beta period.
2.4 Feedback: We may request feedback about your experience. Any feedback you provide becomes our property and may be used to improve the Platform.
2.5 Data: While we take data protection seriously, beta testing involves inherent risks. See our Privacy Policy for details.
3. Eligibility & Account Types
Educational Platform for All Ages
StudySite.ai serves K-12 and higher education. Different account types have different requirements.
3.1 Instructor/Admin Accounts (13+)
To create an instructor or administrator account, you must:
- Be at least 13 years of age (18+ recommended for K-12 educators)
- Have the legal capacity to enter into these Terms
- Represent an authorized educational institution or organization
- Not be prohibited from using the Platform under applicable law
- Provide accurate and current information
3.2 Student Accounts (Under 13 - School Consent Required)
COPPA Compliance - School Consent Model
Students under 13 may ONLY access the Platform through instructor-created accounts. No self-registration is permitted for children under 13.
For students under 13:
- Instructor-Created Only: Accounts must be created by authorized instructors
- School Authorization: The school/instructor provides consent under COPPA
- No Direct Registration: Children under 13 cannot create their own accounts
- Parental Rights: Parents may request access, deletion, or modification of their child's data
3.3 Student Accounts (13+ - Direct Registration)
Students 13 and older may:
- Create accounts with instructor invitation/access code
- OR be enrolled by instructors
- Must have parental/guardian consent if under 18 and required by their school
3.4 Instructor Representations (COPPA Requirements)
By creating student accounts for children under 13, instructors represent and warrant that:
- They are authorized by their school or educational institution to act on its behalf
- They have obtained all necessary consents as required by their institution's policies and applicable law
- They have proper authorization to consent to data collection under COPPA
- They will use the Platform solely for legitimate educational purposes
- They will not share student data beyond what is necessary for educational purposes
- They will inform parents of the Platform's use as required by their institution
Important Notice for Instructors
By creating accounts for students under 13, you are acting as the school's agent and providing consent under COPPA. Ensure you have proper authorization from your school and understand your responsibilities regarding student data privacy.
4. User Accounts
4.1 Account Creation: You must create an account to access most Platform features. You agree to provide accurate, current information during registration.
4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access.
4.3 One Account Per Person: You may only create one account. Multiple accounts may be terminated without notice.
4.4 Account Ownership: We reserve the right to reclaim usernames that are inactive, misleading, or infringe on intellectual property rights.
5. Acceptable Use Policy
You agree NOT to use the Platform to:
- Violate any local, state, national, or international law
- Harass, abuse, or harm another person or group
- Impersonate any person or entity
- Submit false, misleading, or fraudulent information
- Engage in academic dishonesty or cheating
- Attempt to gain unauthorized access to systems or networks
- Introduce viruses, malware, or other harmful code
- Scrape, crawl, or use automated tools to access content
- Reverse engineer or decompile any part of the Platform
- Remove or modify any copyright, trademark, or proprietary notices
- Use the Platform for any commercial purpose without our written consent
Violation of this Acceptable Use Policy may result in immediate account termination.
6. Intellectual Property
6.1 Our Property: The Platform, including all content, features, functionality, software, and design, is owned by Martlet Solutions, LLC and protected by copyright, trademark, and other laws.
6.2 License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial educational purposes.
6.3 Your Content: You retain ownership of content you create on the Platform (e.g., code submissions, responses). You grant us a worldwide, royalty-free license to use, store, and display your content to provide the Platform services.
6.4 Learning Materials: Educational content and modules created by instructors remain their intellectual property. Use is subject to their individual licensing terms.
6.5 Feedback: Any feedback, suggestions, or ideas you provide become our property without compensation.
7. AI-Powered Services
7.1 AI Tutoring: Our Platform uses artificial intelligence to provide personalized tutoring and learning support. AI-generated responses are for educational guidance only and may contain errors.
7.2 Mastery Assessment: AI analyzes your learning conversations to assess progress and adapt instruction. These assessments are estimates and should not be considered official academic evaluations.
7.3 No Guarantee of Accuracy: While we strive for accuracy, AI systems can make mistakes. Always verify critical information from authoritative sources.
7.4 Academic Integrity: Our AI tutors are designed to help you learn, not to complete assignments for you. Using AI-generated content as your own work may violate academic integrity policies.
8. Payment Terms (Future)
8.1 Beta Pricing: The closed beta is currently free. Pricing will be announced before public launch.
8.2 Future Billing: If you continue using the Platform after the beta period, you agree to pay applicable fees. We will notify you of pricing at least 30 days before any charges.
8.3 Refunds: All fees, once charged, are non-refundable except as required by law.
9. Termination
9.1 By You: You may delete your account at any time through your account settings or by contacting us.
9.2 By Us: We may suspend or terminate your account at any time, with or without cause, including for:
- Violation of these Terms
- Fraudulent or illegal activity
- Extended inactivity
- End of beta program
- Any reason we deem necessary to protect the Platform or other users
9.3 Effect of Termination: Upon termination, your license to use the Platform ends immediately. We may delete your account data per our Privacy Policy.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS-IS"
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do NOT warrant that:
- The Platform will be uninterrupted, secure, or error-free
- AI-generated content will be accurate or complete
- Any defects will be corrected
- The Platform is free from viruses or harmful components
- Your use of the Platform will result in any particular educational outcome
Educational Outcomes: While we design the Platform to support learning, we make no guarantees about test scores, grades, or other academic results.
11. Limitation of Liability
LIMITED LIABILITY
To the fullest extent permitted by law, Martlet Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from:
- Your use or inability to use the Platform
- Any unauthorized access to or use of your data
- Any errors or omissions in Platform content
- Any conduct or content of third parties
- AI-generated content or recommendations
Maximum Liability: Our total liability to you for all claims arising from your use of the Platform shall not exceed $100 USD or the amount you paid us in the past 12 months, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Martlet Solutions, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use or misuse of the Platform
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your content or conduct on the Platform
13. Governing Law and Disputes
13.1 Governing Law: These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions.
13.2 Jurisdiction: You agree to submit to the personal jurisdiction of the state and federal courts located in Texas for resolution of any disputes.
13.3 Informal Resolution: Before filing any legal action, you agree to first contact us at support@studysite.ai to attempt informal resolution.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting updated Terms with a new "Last Updated" date
- Sending email notification to registered users
- Displaying a prominent notice on the Platform
Your continued use of the Platform after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform and delete your account.
15. General Provisions
15.1 Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Martlet Solutions, LLC.
15.2 Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in effect.
15.3 No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
15.4 Assignment: You may not assign these Terms. We may assign our rights and obligations without restriction.
